Substance requirements

The importance of a good provider of management and domiciliation services has recently been reconfirmed in a court ruling in the Netherlands, which states that the location of the management and control of a Dutch company prevails in determining eligibility for Dutch taxation. In the field of international taxation, this is commonly known as one of the ‘substance requirements’. Other substance requirements are that a Dutch company should have a board of directors of which the majority resides in the Netherlands, that the administration of the company is carried out in the Netherlands and that it should have a bank account in the Netherlands.

 

Treaty protection

The principal interest in meeting these substance requirements is to ensure that a Dutch company receives protection from the applicable tax treaty and that the client thus safeguards the tax saving he seeks to realise by interposing a Dutch company in his corporate structure.
